Serve, tamb\u00e9m, como uma ferramenta efetiva de adequa\u00e7\u00e3o e preven\u00e7\u00e3o, de modo a orientar os colaboradores, funcion\u00e1rios e terceiros que se relacionam com a empresa na identifica\u00e7\u00e3o de conflitos e infra\u00e7\u00f5es que podem ser consideradas pr\u00e1ticas il\u00edcitas. Nesse sentido, o presente documento auxilia na percep\u00e7\u00e3o de irregularidades e\/ou infra\u00e7\u00f5es que possam vir a comprometer a integridade da organiza\u00e7\u00e3o. Por esse motivo, ser\u00e3o elencados alguns procedimentos que devem ser adotados a fim de assegurar condutas \u00e9ticas e comprometidas com as diretrizes \u00e9ticas e impostas pela lei anticorrup\u00e7\u00e3o.<\/p>\n<ol start=\"2\">\n<li><strong> INTRODU\u00c7\u00c3O<\/strong><\/li>\n<\/ol>\n<p class=\"translation-block\"><strong>LOGIKS CONSULTING AND SERVICES IN INFORMATION TECHNOLOGY LTDA<\/strong>.<\/p>\n<p>A LOGIKS \u00e9 uma empresa que atua no segmento de Tecnologia da Informa\u00e7\u00e3o, tendo consci\u00eancia de que o sucesso e a continuidade de seus neg\u00f3cios est\u00e3o diretamente relacionados \u00e0 orienta\u00e7\u00e3o de padr\u00f5es \u00e9ticos e a gest\u00e3o sustent\u00e1vel de seus neg\u00f3cios, de forma que o impacto de suas a\u00e7\u00f5es tenha como resultado o equil\u00edbrio entre os aspectos social, econ\u00f4mico, ambiental e de governan\u00e7a corporativa junto a todos os seus p\u00fablicos de relacionamento.<\/p>\n<p>O C\u00f3digo de \u00c9tica, Conduta e Integridade est\u00e1 alinhado com a paix\u00e3o, esp\u00edrito em construir algo novo e transformar a\u00e7\u00f5es sempre considerando o fator humano, de forma a refor\u00e7ar o compromisso atrav\u00e9s de tratamento igualit\u00e1rio e n\u00e3o discriminat\u00f3rio pautado nos princ\u00edpios:<\/p>\n<ul>\n<li>Dignified and respectful, recognizing, accepting and not discriminating against gender, social class, ethnicity, divergent opinions and beliefs and always preserving physical, moral and psychological integrity;<\/li>\n<li>Repudiating any abuse or harassment, whether moral or sexual;<\/li>\n<li>Repudiation of any action to exploit labor, whether slave labor, labor analogous to slavery or child labor;<\/li>\n<li>Compliance with internal policies and all applicable legislation and regulations.<\/li>\n<\/ul>\n<p>The guideline is given by the corporate foundations, based on social and corporate responsibility, so it is a formal reference that even guides the internal and external professional conduct of all the Institution's Employees.<\/p>\n<ol start=\"3\">\n<li><strong> ABRANG\u00caNCIA<\/strong><\/li>\n<\/ol>\n<p>O C\u00f3digo de \u00c9tica, Conduta e Integridade contempla diretrizes de conduta baseadas em padr\u00f5es \u00e9ticos e morais que servir\u00e3o de referencial para o comportamento de todos os colaboradores, internos e externos, isto \u00e9, os integrantes do quadro funcional da\u00a0LOGIKS\u00a0no exerc\u00edcio de suas fun\u00e7\u00f5es, inclusive prestadores de servi\u00e7os, fornecedores e parceiros de neg\u00f3cios que se vinculam \u00e0 Institui\u00e7\u00e3o.<\/p>\n<p>Treinamentos, reciclagem e certifica\u00e7\u00f5es de\u00a0<em>compliance<\/em>\u00a0s\u00e3o realizadas anualmente em todo quadro da Empresa, mantendo atualizados todos os conceitos e normativas referentes ao tema.<\/p>\n<p>A observ\u00e2ncia deste C\u00f3digo constitui condi\u00e7\u00e3o essencial para a manuten\u00e7\u00e3o do v\u00ednculo contratual ou institucional com a LOGIKS.<\/p>\n<ol start=\"4\">\n<li><strong> AMBIENTE DE TRABALHO<\/strong><\/li>\n<\/ol>\n<p>A Institui\u00e7\u00e3o fomenta um ambiente de trabalho com respeito e dignidade, bem como n\u00e3o permite entre seus Funcion\u00e1rios \/ Colaboradores qualquer tipo de discrimina\u00e7\u00e3o e est\u00e1 comprometida com a\u00e7\u00f5es e pol\u00edticas para assegurar oportunidades de trabalho justas, incluindo tratamento igual na contrata\u00e7\u00e3o, promo\u00e7\u00e3o, treinamento, compensa\u00e7\u00e3o, rescis\u00e3o e a\u00e7\u00e3o corretiva, e n\u00e3o tolerar\u00e1 atitudes de discrimina\u00e7\u00e3o por parte de seus Funcion\u00e1rios \/ Colaboradores.<\/p>\n<p>A coopera\u00e7\u00e3o e o trabalho em equipe s\u00e3o os grandes aliados da nossa cultura e refor\u00e7am a preocupa\u00e7\u00e3o da\u00a0LOGIKS\u00a0com um ambiente saud\u00e1vel e harmonioso para se trabalhar. O sigilo apenas poder\u00e1 ser quebrado se houver a necessidade de notifica\u00e7\u00e3o \u00e0s autoridades p\u00fablicas ou \u00f3rg\u00e3os reguladores, ou, ainda por determina\u00e7\u00e3o judicial.<\/p>\n<p>A\u00a0LOGIKS<strong>\u00a0<\/strong>pro\u00edbe a retalia\u00e7\u00e3o contra qualquer pessoa que denuncie, participe ou colabore com qualquer investiga\u00e7\u00e3o. Nenhuma conclus\u00e3o ser\u00e1 tomada sem a devida apura\u00e7\u00e3o dos fatos, sem que os fatos e as circunst\u00e2ncias tenham sido objetivamente investigados e avaliados.<\/p>\n<p>Todas as investiga\u00e7\u00f5es s\u00e3o sigilosas e todos devem cooperar.<\/p>\n<p><strong>6. ETHICAL PRINCIPLES<\/strong><\/p>\n<p><strong>6.1 Abuse, Harassment and Discrimination<\/strong><\/p>\n<p>Respect for others is a premise that is taken seriously at the Institution and, for this reason, we do not tolerate moral or sexual harassment, discrimination based on color, race, creed, gender, sexual orientation or age - or any other type of abuse.<\/p>\n<p>We consider moral harassment to be any abusive conduct (gestures, words, writings, behavior, attitudes, etc.) that intentionally hurts a person's physical or psychological dignity, threatens their job, embarrasses them or degrades the atmosphere in the workplace.<\/p>\n<p>Sexual harassment is when someone in a privileged position uses this advantage with the intention of obtaining sexual favours from members of their team, hurting people's psychological and professional integrity.<\/p>\n<p>All types of harassment, discrimination and abuse must be curbed and immediately reported to the Human Resources team or the Whistleblowing Channel, so that it can be dealt with appropriately.<\/p>\n<p><strong>6.2 Use of Alcohol, Drugs, Weapons and Violence<\/strong><\/p>\n<p>We encourage physical, emotional, intellectual and social balance and strongly encourage the adoption and maintenance of healthy habits for the well-being and safety of our teams.<\/p>\n<p>Alcohol consumption is permitted in our work environments, on special and\/or celebratory occasions, but use common sense and never drink in a way that affects your performance, conflicts with your routine or leads to inappropriate behavior, endangers the safety of others or violates the law.<\/p>\n<p>The possession or use of illegal drugs is forbidden in our offices or at sponsored events, where we also do not allow the possession of any type of weapon and do not tolerate violent acts, whether physical or verbal.<\/p>\n<p><strong>6.3 Corruption prevention<\/strong><\/p>\n<p>De acordo com o C\u00f3digo Penal em vigor, pratica o crime de corrup\u00e7\u00e3o ativa o particular\u00a0que \u201coferecer ou prometer vantagem indevida a funcion\u00e1rio p\u00fablico, para determin\u00e1-lo a\u00a0praticar, omitir ou retardar ato de of\u00edcio\u201d. A legisla\u00e7\u00e3o penal tamb\u00e9m prev\u00ea como crime a corrup\u00e7\u00e3o ativa em transa\u00e7\u00e3o comercial internacional, definindo a pr\u00e1tica criminosa como \u201cprometer, oferecer ou dar, direta ou indiretamente, vantagem indevida a funcion\u00e1rio p\u00fablico estrangeiro, ou a terceira pessoa, para determin\u00e1-lo a praticar, omitir ou retardar ato de of\u00edcio relacionado \u00e0 transa\u00e7\u00e3o comercial internacional\u201d.<\/p>\n<p>Since 2013, Law 12.846, known as the \"Anti-Corruption Law\", has also provided for administrative sanctions for legal entities that commit acts against the national or foreign public administration.<\/p>\n<p>The conducts listed there are much broader, and are considered punishable acts under the law:<\/p>\n<p>\u201c<em>\"Art. 5 - For the purposes of this Law, all those acts committed by the legal entities mentioned in the sole paragraph of art. 1, which violate national or foreign public assets, public administration principles or international commitments assumed by Brazil, as defined herein, constitute acts harmful to the national or foreign public administration.<\/em><\/p>\n<ul>\n<li><em>prometer, oferecer ou dar, direta ou indiretamente, vantagem indevida a agente p\u00fablico, ou a terceira pessoa a ele relacionada;<\/em><\/li>\n<li><em>comprovadamente, financiar, custear, patrocinar ou de qualquer modo subvencionar a pr\u00e1tica dos atos il\u00edcitos previstos nesta Lei;<\/em><\/li>\n<li><em>comprovadamente, utilizar-se de interposta pessoa f\u00edsica ou jur\u00eddica para ocultar ou dissimular seus reais interesses ou a identidade dos benefici\u00e1rios dos atos praticados;<\/em><\/li>\n<li><em>no tocante a licita\u00e7\u00f5es e contratos:<\/em><\/li>\n<\/ul>\n<ol>\n<li><em>frustrate or defraud, by means of an arrangement, combination or any other expedient, the competitive nature of a public bidding procedure;<\/em><\/li>\n<li><em>impede, disturb or defraud the performance of any act of a public bidding procedure;<\/em><\/li>\n<li><em>remove or seek to remove a bidder, by means of fraud or offering an advantage of any kind;<\/em><\/li>\n<li><em>fraudulently bidding on a public tender or contract arising from it;<\/em><\/li>\n<li><em>create, in a fraudulent or irregular manner, a legal entity in order to participate in a public bidding process or enter into an administrative contract;<\/em><\/li>\n<li><em>obtaining undue advantage or benefit, fraudulently, from modifications or extensions of contracts entered into with the public administration, without authorization by law, in the public bid invitation or in the respective contractual instruments; or<\/em><\/li>\n<li><em>manipulating or defrauding the economic-financial balance of contracts entered into with the public administration;<\/em>\n<ul>\n<li><em>dificultar atividade de investiga\u00e7\u00e3o ou fiscaliza\u00e7\u00e3o de \u00f3rg\u00e3os, entidades ou agentes p\u00fablicos, ou intervir em sua atua\u00e7\u00e3o, inclusive no \u00e2mbito das ag\u00eancias reguladoras e dos \u00f3rg\u00e3os de fiscaliza\u00e7\u00e3o do sistema financeiro nacional.<\/em><\/li>\n<li><em>1\u00ba Foreign public administrations are considered to be state bodies and entities or diplomatic representations of a foreign country, at any level or sphere of government, as well as legal entities controlled, directly or indirectly, by the public authorities of a foreign country.<\/em><\/li>\n<li><em>2\u00ba For the purposes of this Law, public international organizations are considered to be a foreign public administration.<\/em><\/li>\n<li><em>3\u00ba For the purposes of this Law, a foreign public official is anyone who, even temporarily or without remuneration, holds a position, job or public function in state bodies, entities or diplomatic representations of a foreign country, as well as in legal entities controlled, directly or indirectly, by the public authorities of a foreign country or in international public organizations.\"<\/em>.\u201d<\/li>\n<\/ul>\n<\/li>\n<\/ol>\n<p>Such conduct is prohibited and not tolerated by the institution. If someone requests this type of advantage from an Employee\/Collaborator, they must immediately inform the responsible area via the Whistleblowing Channel of the incident.<\/p>\n<p><strong>6.4 Money Laundering Prevention<\/strong><\/p>\n<p>The crime of money laundering or concealment of assets, rights and values occurs when there is concealment or disguise of the nature, origin, location, disposition, movement or ownership of assets, rights or values derived, directly or indirectly, from a criminal offense.<\/p>\n<p>Therefore, the crime is characterized when the agent conceals or hides amounts obtained through illicit activities, so that they appear as the result of legal commercial operations and can be absorbed by the financial system.<\/p>\n<p>In view of this, in absolutely all day-to-day tasks, the employee\/co-worker involved in financial transactions with third parties must be diligent in paying attention to the origin of any funds received or transacted with third parties. If they suspect any irregularity, they must immediately notify\u00a0<em>Compliance<\/em>,so that it can analyze the suspicion and refer the matter to the competent authorities.<\/p>\n<p><strong>6.5 Ethics<\/strong><\/p>\n<p>The Institution is committed to high standards of conduct and behavior adopted by its board of directors, managers, employees, collaborators and others involved in the performance of its functional activities, which are expected to be fully complied with, because in our understanding, ethics at work guides not only the content of decisions (what should be done), but also the decision-making process (how it should be done).<\/p>\n<p>Respeitamos a dignidade pessoal, a privacidade e os direitos individuais de cada um, trabalhamos e colaboramos com pessoas de diversas origens \u00e9tnicas, culturais, religiosas, diferentes idades, ra\u00e7as, identidades sexuais e vis\u00f5es do mundo.<\/p>\n<p>Consistent with our business principles; and with local laws, we do not tolerate any discrimination against anyone based on these characteristics, nor any harassment or offensive behavior, of a moral or sexual nature.<\/p>\n<p>Para maximizar o alinhamento com esta vis\u00e3o adotamos o padr\u00e3o \u00e9tico institu\u00eddo neste C\u00f3digo como refer\u00eancia, formal e institucional para a conduta pessoal e profissional de todos os Funcion\u00e1rios \/ Colaboradores, independentemente da fun\u00e7\u00e3o que ocupem, de forma a tornar-se um padr\u00e3o de relacionamento interno e externo com os seus p\u00fablicos de interesse: s\u00f3cios, clientes, fornecedores, outros parceiros comerciais, entidades governamentais e o p\u00fablico em geral.<\/p>\n<p>In addition to the duties laid down by law, Employees \/ Collaborators must observe the following duties:<\/p>\n<ul>\n<li>Act with prudence, diligence, integrity, responsibility, honesty, loyalty and transparency;<\/li>\n<li>Be aware that their work is governed by ethical principles;<\/li>\n<li>Strive for cooperation, courtesy, mutual respect and trust in relationships with other professionals, without any kind of prejudice or discrimination;<\/li>\n<li>Manter-se isento e com uma postura profissional no relacionamento com Clientes; Manter sigilo absoluto sobre as opera\u00e7\u00f5es e informa\u00e7\u00f5es da Institui\u00e7\u00e3o, seus Clientes, Prestadores de servi\u00e7os e Fornecedores, das quais tenham conhecimento por sua atua\u00e7\u00e3o;<\/li>\n<li>Do not give in to pressure or intimidation from Clients, beneficiaries, interested parties or any others seeking undue favors or advantages;<\/li>\n<li>Informar seu Gestor ou o Compliance, sobre quaisquer atividades irregulares anti\u00e9ticas, corruptas ou ilegais ocorridas dentro da Institui\u00e7\u00e3o de que tenham conhecimento, devendo o informado preservar o anonimato do informante;<\/li>\n<li>Respect co-workers, regardless of race, age, gender, physical appearance, sexual option, religious option, geographical origin or political option;<\/li>\n<\/ul>\n<p>In addition to the obligations and prohibitions laid down by law, Employees \/ Collaborators must observe that the following conduct is strictly forbidden:<\/p>\n<ul>\n<li>Requesting, suggesting or receiving any advantages using the name of the Institution, their position or function, to obtain personal benefits or for third parties;<\/li>\n<li>Using any privileged or confidential information obtained in the course of their professional practice, for their own benefit or that of third parties, in business outside that of the Institution;<\/li>\n<li>Treating other employees, clients or suppliers differently for personal reasons;<\/li>\n<li>Carrying out any professional activities that conflict with their job or position, or are incompatible with their working hours;<\/li>\n<li>Exposing any Collaborator or co-worker to vexatious situations, using tricks intended to discredit or humiliate them;<\/li>\n<li>Complying with irregularities or any conduct classified as a crime or illicit.<\/li>\n<\/ul>\n<ol start=\"7\">\n<li><strong> RELACIONAMENTO INTERNO E EXTERNO<\/strong><\/li>\n<\/ol>\n<ul>\n<li><strong>Relationship with the environment<\/strong><\/li>\n<\/ul>\n<p>A\u00a0LOGIKS<strong>\u00a0<\/strong>tem como compromisso e princ\u00edpio fundamental o respeito e a preserva\u00e7\u00e3o do meio ambiente e dos recursos h\u00eddricos, atuando de forma legal, preventiva e educacional, visando a sustentabilidade ambiental, a sa\u00fade e a qualidade de vida da popula\u00e7\u00e3o. Adota medidas como a m\u00ednima utiliza\u00e7\u00e3o de copos pl\u00e1sticos em suas depend\u00eancias, fornecendo canecas\/garrafinhas para o uso di\u00e1rio de seus funcion\u00e1rios. Al\u00e9m disso, incentiva a n\u00e3o utiliza\u00e7\u00e3o desnecess\u00e1ria de folhas de papel, entre outras medidas para diminuir o impacto negativo no meio ambiente.<\/p>\n<p><strong>7.2 Internal Relations<\/strong><\/p>\n<ul>\n<li>Carry out their activities in accordance with this Code and follow internal policies and manuals, as well as legislation and rules issued by regulatory bodies, encouraging and guiding their colleagues in this regard;<\/li>\n<li>Maintaining a positive, dignified, loyal, honest professional attitude of mutual respect, trust and collaboration with other work colleagues;<\/li>\n<li>Act and treat everyone with respect in the corporate environment;<\/li>\n<li>Repudiate and curb any act of discrimination, whether related to race, religion, color, social class, gender, age or any other;<\/li>\n<li>Not using the position held to request personal favors or services from subordinates;<\/li>\n<li>Treat everyone with equality and courtesy, offering opportunities for development and professional growth;<\/li>\n<li>Os gestores devem constituir modelo de conduta para sua equipe.<\/li>\n<\/ul>\n<p><strong>7.3 Relations with employees and collaborators<\/strong><\/p>\n<p>O relacionamento da\u00a0LOGIKS<strong>\u00a0<\/strong>com seus funcion\u00e1rios\/colaboradores pauta-se pela gest\u00e3o participativa, respeito e cumprimento da legisla\u00e7\u00e3o, dos contratos, acordos coletivos do trabalho e normas internas.<\/p>\n<p>In addition, it encourages its employees to adopt a healthy quality of life, promoting meetings for sports activities, as well as encouraging its employees to eat healthily by providing a kitchen\/cupboard with appliances in its premises for employees to use in order to store lunch, fruit, snacks, i.e. healthy food.<\/p>\n<p>It also encourages its employees to take care of their mental and physical health through the Human Resources department's weekly tips on well-being at de Integridade efetivo, com mecanismos destinados a prevenir, detectar e tratar condutas irregulares;<\/li>\n<li>promover treinamentos, comunica\u00e7\u00e3o interna e instrumentos normativos que reforcem a cultura organizacional de honestidade e responsabilidade;<\/li>\n<li>adotar dilig\u00eancia pr\u00e9via (due diligence) de parceiros, fornecedores e terceiros, sempre que necess\u00e1rio, especialmente em rela\u00e7\u00f5es que envolvam riscos regulat\u00f3rios ou reputacionais, tal como recomendado em programas maduros de integridade empresarial.<\/li>\n<\/ul>\n<p><strong>10.4 Responsabilidade Individual <\/strong><\/p>\n<p>Cada colaborador, prestador ou terceiro vinculado \u00e0 LOGIKS deve:<\/p>\n<ul>\n<li>atuar de forma \u00edntegra, respeitosa e compat\u00edvel com os valores institucionais;<\/li>\n<li>zelar pelo ambiente de trabalho e pela reputa\u00e7\u00e3o da Empresa;<\/li>\n<li>abster-se de qualquer conduta que possa configurar ass\u00e9dio, modelos referenciais de programas anticorrup\u00e7\u00e3o e de conduta institucional.<\/p>\n<p><strong>10.5 Direitos Humanos e Conduta Respons\u00e1vel<\/strong><\/p>\n<p>A LOGIKS reafirma seu compromisso inequ\u00edvoco com o respeito, a promo\u00e7\u00e3o e a prote\u00e7\u00e3o dos direitos humanos, em conformidade com a Carta Internacional de Direitos Humanos, a Declara\u00e7\u00e3o da Organiza\u00e7\u00e3o Internacional do Trabalho (OIT) sobre os Princ\u00edpios e Direitos Fundamentais do Trabalho, os Princ\u00edpios Orientadores das Na\u00e7\u00f5es Unidas sobre Empresas e Direitos Humanos, bem como demais instrumentos nacionais e internacionais aplic\u00e1veis.<\/p>\n<p>A Empresa compromete-se a atuar com devida dilig\u00eancia em direitos humanos, adotando medidas ass\u00e9dio moral ou sexual, viol\u00eancia f\u00edsica, psicol\u00f3gica ou institucional;<\/li>\n<li><strong>N\u00e3o praticar nem tolerar qualquer forma de explora\u00e7\u00e3o sexual de crian\u00e7as e adolescentes<\/strong>, promovendo a\u00e7\u00f5es de conscientiza\u00e7\u00e3o junto a empregados, parceiros e subcontratadas;<\/li>\n<li><strong>N\u00e3o utilizar m\u00e3o de obra infantil<\/strong>, nem submeter trabalhadores a condi\u00e7\u00f5es an\u00e1logas \u00e0 de escravo ou a condi\u00e7\u00f5es degradantes de trabalho, garantindo condi\u00e7\u00f5es adequadas de sa\u00fade, seguran\u00e7a, alimenta\u00e7\u00e3o, alojamento e higiene, bem como exigindo tais compromissos contratualmente de suas subcontratadas;<\/li>\n<li><strong>N\u00e3o praticar nem compactuar com amea\u00e7as, intimida\u00e7\u00f5es ou retalia\u00e7\u00f5es contra defensores(as) de direitos humanos<\/strong>, respeitando a liberdade de express\u00e3o, associa\u00e7\u00e3o e manifesta\u00e7\u00e3o, exigindo conduta equivalente de seus parceiros comerciais;<\/li>\n<li><strong>N\u00e3o adotar pr\u00e1ticas ilegais ou abusivas na intera\u00e7\u00e3o entre for\u00e7as de seguran\u00e7a, comunidades e trabalhadores<\/strong>, evitando o uso de armas letais e assegurando o dever de prestar socorro \u00e0s v\u00edtimas, quando aplic\u00e1vel.<\/li>\n<\/ul>\n<p>O descumprimento das disposi\u00e7\u00f5es previstas neste item sujeitar\u00e1 os respons\u00e1veis \u00e0s <strong>medidas disciplinares e san\u00e7\u00f5es previstas neste C\u00f3digo<\/strong>, sem preju\u00edzo das responsabilidades civis, administrativas e penais cab\u00edveis.<\/p>\n<ol start=\"11\">\n<li><strong> DISPOSI\u00c7\u00d5ES SOBRE MEDIDAS DISCIPLINARES <\/strong><\/li>\n<\/ol>\n<p>A LOGIKS repudia toda e qualquer conduta que viole os princ\u00edpios \u00e9ticos, normas internas, dispositivos legais aplic\u00e1veis ou o presente C\u00f3digo de Conduta e Integridade. Infra\u00e7\u00f5es ser\u00e3o submetidas a processo de apura\u00e7\u00e3o formal, conduzido com imparcialidade, confidencialidade e observ\u00e2ncia das melhores pr\u00e1ticas de conformidade corporativa.<\/p>\n<p>A apura\u00e7\u00e3o e o tratamento das transgress\u00f5es seguir\u00e3o procedimentos compat\u00edveis com a gravidade e a natureza da conduta, alinhados a protocolos disciplinares compar\u00e1veis aos adotados em institui\u00e7\u00f5es que disp\u00f5em de Programas de Integridade consolidados.<\/p>\n<p><strong>11.1 San\u00e7\u00f5es Disciplinares Aplic\u00e1veis <\/strong><\/p>\n<p>As medidas poder\u00e3o ser aplicadas isolada ou cumulativamente, conforme crit\u00e9rios de proporcionalidade, razoabilidade e reincid\u00eancia, podendo consistir em:<\/p>\n<ol>\n<li><strong>Advert\u00eancia verbal <\/strong>\u2013 para irregularidades de menor impacto, visando \u00e0 orienta\u00e7\u00e3o e corre\u00e7\u00e3o imediata da conduta;<\/li>\n<li><strong>Advert\u00eancia escrita <\/strong>\u2013 aplic\u00e1vel em casos de maior relev\u00e2ncia ou diante de reincid\u00eancia;<\/li>\n<\/ol>\n<p>III. <strong>Suspens\u00e3o <\/strong>\u2013 destinada a condutas que afetem substancialmente o ambiente laboral, as normas de integridade, a imagem institucional ou a seguran\u00e7a operacional;<\/p>\n<ol>\n<li><strong>Rescis\u00e3o contratual<\/strong>, inclusive <strong>por justa causa<\/strong>, quando configurada viola\u00e7\u00e3o grave de deveres legais, contratuais ou \u00e9ticos.<\/li>\n<\/ol>\n<p><strong>11.2 Garantias Procedimentais <\/strong><\/p>\n<p>A aplica\u00e7\u00e3o das san\u00e7\u00f5es observar\u00e1:<\/p>\n<ul>\n<li>os princ\u00edpios do contradit\u00f3rio e da ampla defesa;<\/li>\n<li>a ci\u00eancia pr\u00e9via do colaborador acerca dos fatos apurados;<\/li>\n<li>a possibilidade de apresenta\u00e7\u00e3o de manifesta\u00e7\u00f5es, documentos ou esclarecimentos;<\/li>\n<li>decis\u00e3o formal devidamente motivada.<\/li>\n<\/ul>\n<p>Os procedimentos internos de integridade seguem pr\u00e1ticas similares \u00e0s descritas em programas de refer\u00eancia, nos quais a resposta disciplinar deve possuir efetividade e credibilidade institucional.<\/p>\n<p><strong>11.3 Alcance a Terceiros, Parceiros e Fornecedores <\/strong><\/p>\n<p>As disposi\u00e7\u00f5es aqui previstas aplicam-se igualmente a:<\/p>\n<ul>\n<li>terceiros;<\/li>\n<li>consultores;<\/li>\n<li>fornecedores;<\/li>\n<li>parceiros comerciais ou institucionais.<\/li>\n<\/ul>\n<p>Na hip\u00f3tese de viola\u00e7\u00e3o das normas de integridade:<\/p>\n<ul>\n<li>poder\u00e3o ser aplicadas san\u00e7\u00f5es contratuais;<\/li>\n<li>poder\u00e1 ocorrer rescis\u00e3o unilateral do contrato;<\/li>\n<li>poder\u00e3o ser efetuadas comunica\u00e7\u00f5es \u00e0s autoridades competentes, quando cab\u00edvel;<\/li>\n<li>eventuais danos ser\u00e3o apurados e imputados ao respons\u00e1vel, nos termos da legisla\u00e7\u00e3o civil aplic\u00e1vel.<\/li>\n<\/ul>\n<p><strong>11.4 Car\u00e1ter Exemplificativo <\/strong><\/p>\n<p>As hip\u00f3teses mencionadas apresentam car\u00e1ter meramente exemplificativo.
